Please read these Terms carefully before using ACC Solutions. By using our Services, you agree to these Terms.

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the websites, telephone answering, virtual receptionist, message delivery, and related services (together, the "Services") provided by ACC Solutions ("ACC," "we," "us," or "our"). By accessing our website, signing an order form, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business, and "you" refers to that business.

If you do not agree to these Terms, do not use the Services.

2. Description of service

ACC provides live, U.S.-based call answering and customer-communication services. Depending on your plan, this may include answering calls in your business name, taking and delivering messages, scheduling appointments, qualifying leads, transferring or dispatching calls, and related coverage. The specific features, talk minutes, and rates that apply to you are described in your selected plan or order form.

We may improve, modify, or discontinue features of the Services over time. We will give reasonable notice of material changes that adversely affect your use of the Services.

3. Accounts

To use most of the Services you must provide accurate account, contact, and billing information and keep it current. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

You are responsible for the scripts, greetings, routing rules, and other instructions you provide to us, and for ensuring they are lawful and accurate.

4. Acceptable use

You agree not to use the Services to: (a) violate any law or regulation; (b) transmit unlawful, harassing, defamatory, or fraudulent content; (c) infringe the intellectual property or privacy rights of others; (d) send unsolicited or unlawful telemarketing or robocalls; or (e) interfere with or disrupt the integrity or performance of the Services.

You are responsible for ensuring that your use of the Services complies with all laws that apply to your business, including the Telephone Consumer Protection Act (TCPA), state recording-consent laws, and, where applicable, industry rules such as HIPAA.

5. Fees & billing

Fees are based on your selected plan and any usage beyond your included talk minutes, billed at your plan's overage rate. Unless your order form states otherwise, fees are billed in advance on a recurring monthly basis and usage-based charges are billed in arrears.

You authorize us to charge your payment method on file for all amounts due. Fees are non-refundable except where required by law. We may change pricing on renewal with at least thirty (30) days' notice. Late or failed payments may result in suspension of the Services.

6. Term & termination

Plans are month-to-month unless your order form states otherwise. You may cancel at any time, effective at the end of your current billing cycle. We may suspend or terminate the Services if you materially breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure for us or others.

Upon termination, your right to use the Services ends. Sections that by their nature should survive termination — including fees owed, disclaimers, limitations of liability, and indemnification — will survive.

7. Disclaimers

The Services are provided "as is" and "as available." While we work hard to answer reliably and accurately, we do not warrant that the Services will be uninterrupted, error-free, or that messages will always be delivered without delay, including during outages, force majeure events, or carrier or network failures outside our control. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, ACC and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or related to the Services. Our total liability for any claim arising out of or related to the Services will not exceed the amounts you paid us for the Services in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless ACC and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, the instructions or content you provide, or your violation of these Terms or any law.

10. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for any dispute that is not subject to arbitration or small-claims resolution, except where applicable law provides otherwise.

11. Changes to terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
